The Terms of Use below govern your use of the Cybersettle application (“Cybersettle”. The Cybersettle application is the property of Cybersettle Holdings, Inc. (“we”, “us”, “our”). Cybersettle is a software application made available for your use either through a non-transferable non-exclusive license or through an invitation to access and use the application by an authorized licensor of the application. Irrespective of how you gained authorized access to Cybersettle, your use of the application is subject to your acceptance of the Terms of Use below. By using our application, you agree to and accept our Terms of Use. Please read these Terms of Use carefully before you start to use Cybersettle. You can give us feedback or submit questions at any time by sending an email to support@cybersettle.com.

1. About Cybersettle
   1. Cybersettle is a software application that enables two parties to confidentially and securely engage in a financial negotiation and settlement process. Once authorized to use the application, each party securely enters their negotiation inputs into Cybersettle through the provided user interface in the application. Each party’s input is based on their own negotiation strategy; Cybersettle does not make any offers on behalf of users. Cybersettle receives these user inputs and algorithmically attempts to facilitate a negotiated financial settlement between the two parties. Each party is notified if a settlement was reached or not based on the negotiation inputs they provided.

2. Other Applicable Terms
   1. These Terms of Use refer to and incorporate the following additional terms, which also apply to your use of Cybersettle.
   2. Our Privacy Policy provides details on information we collect from users, how we store, use, protect and secure such information. By using Cybersettle, you consent to such processing and you warrant that all information provided by you is accurate.
   3. Our Cookie Policy, which sets out information about the cookies on our application.
   4. We may revise these terms of use at any time by amending this page. Please check this page from time to time to take notice of any changes we make, as they are binding on you.
   5. We may update Cybersettle from time to time, and may change the content at any time. However, please note that any of the content on our site may be out of date at any given time, and we are under no obligation to update it.
   6. Although we make reasonable efforts to update the information on our site, we make no representations, warranties or guarantees, whether express or implied, that the content on our site is accurate, complete or up-to-date.
3. Accessing Cybersettle
   1. You can access Cybersettle either as an authorized user from an organization that is a valid licensee of the Cybersettle application or through an invitation to use Cybersettle from such a licensee.
   2. Your access to Cybersettle is limited to use of the digital financial negotiation and settlement functionality within the application.
   3. We do not guarantee that the Cybersettle application, or any content on it, will always be available or be uninterrupted. We will not be liable to you if for any reason our site is unavailable at any time or for any period.
   4. By continuing to access and use Cybersettle you agree to the Terms of Use and all other policies incorporated into it.
4. Your Account and Password
   1. Your access to Cybersettle is enabled when you establish an account with us. Establishment of an account requires registering a valid email address and the creation of a unique and secure password that is attached to the account. Your unique combination of valid email address and password are your Cybersettle access credentials.
   2. Cybersettle will never ask you for your password at any time. Your Cybersettle access credentials are confidential information and a critical element of our security protocols. You must not disclose to any third party, or allow any other third party to use your Cybersettle access credentials at any time. You are liable for any and all security breaches and similar cybersecurity incidents on the Cybersettle application that can be traced back to your failure to abide by these rules governing your access credentials. We are also not responsible for any damages to you caused by your failure to abide by these rules governing your access credentials.
   3. You will be allowed to use Cybersettle only if we are able to validate the authenticity and accuracy of your access credentials each time you seek to access Cybersettle.
   4. We have the right to disable your access credentials and deny you access to Cybersettle, if in our reasonable opinion, you have failed to comply with any of the provisions of these terms of use.
5. Intellectual Property Rights
   1. Cybersettle Holdings Inc is the owner of all intellectual property rights in the Cybersettle application, and in the material published on it. This includes and is not limited to illustrations, logos, icons, photographs, video or audio sequences and/or any other graphics present in the Cybersettle applications. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.
   2. You may not print, photograph, take screen shots or reproduce in any format any of the information and content that is available on the Cybersettle application without explicit written permission from us.
   3. Copies of the Terms of Use, Privacy Policy and Cookie Policy may be printed or downloaded when such provisions are enabled by us on the application.
   4. You must not use any part of the content on our application for commercial purposes without obtaining a license to do so from us.
   5. If you print off, copy photograph or download any part of our application in breach of these terms of use, your right to use our application will cease immediately and you will be subject to violation of our intellectual property rights.
6. No Reliance on Information
   1. The content in our application is provided for general information only. It is not intended to amount to advice on which you should rely. You must obtain professional or specialist advice before taking, or refraining from, any action on the basis of the content on our application.
   2. In particular, our site and its contents are not intended to constitute legal or financial advice. You agree that all input you provide to us through the use of Cybersettle for financial negotiation and settlement is voluntary and informed by your own judgement.
7. Settlements
   1. You agree that using this application may create a binding settlement agreement between you and the party with whom you exchange binding settlement offers on our application (“the other party”).
   2. You agree that any such settlement will be in full and final settlement of any and all transactions relating to the subject matter of the negotiated settlement between you and the party with whom you exchange settlement offers howsoever, whatsoever and whensoever arising.
   3. By using our application you warrant that you have knowledge of the relevant issues and have unrestricted authority to enter into binding settlement agreements with the other party.
   4. You agree to be bound by any settlement agreement achieved through the use of our application. You agree that parties with whom you reach settlements on our application may enforce such settlement agreements against you.
   5. The Process
      1. Cybersettle uses a double-blind negotiation process where neither party is privy to the other party’s offers at any time, allowing for trusted negotiation and settlements to occur with no fear of revealing one’s “hand”. Only the final settlement amount is revealed to either party in the event of a successful settlement.
      2. Upon a successful settlement, the two parties fulfil their respective obligations from the successful settlement directly with each other. All successful financial settlements arising from the use of Cybersettle are binding.
      3. Each digital negotiation attempt involves 3 rounds with each Party making 1 offer in each round. Successful outcomes occur in one of two ways – when the there is a match between each Party’s offer in any given round (“Match”) or if there is an overlap between the offers in the 3rd round (“Overlap”). In the event of overlapping offers during Round 3, Cybersettle algorithmically determines an appropriate settlement amount using the overlapping offers resulting in a “win-win” for both parties.

      4. Illustrative Example:

         Your insurance company uses Cybersettle to enter three confidential and potentially acceptable offers to the Claimant (You) for the specific claim being negotiated.

         The insurance company then extends an invitation via email to the Claimant to use Cybersettle to negotiate and settle the claim amount.

         Claimant accepts insurance company’s invitation, logs on to Cybersettle, accepts the Terms and Conditions and engages with the insurance company by presenting their confidential offers one round at a time, as follows.

         Round 1 = Claimant offers to accept $15,000 as a settlement (No settlement reached after Round 1, proceed to Round 2)

         Round 2 = Claimant offers to accept $10,000 as a settlement (No settlement reached after Round 2, proceed to Round 3)

         Round 3 = Claimant offers to accept $8,000 as a settlement

         Cybersettle notifies both parties of the achievement of a successful settlement at the end of Round 3, with a settlement amount of $8,500, having determined that the Claimant’s 3rd offer and the Insurance company’s 3rd offer overlapped and each Party could walk away with a “win”.

         If there is a match between each Party’s offer at the end of Round 2, the negotiation is concluded successfully with the settlement amount provided by both Parties during Round 2.

         In the event that there is no settlement reached – neither a Match nor an Overlap - after the 3rd Round, the Insurance company is made aware of the lack of a successful settlement outcome and has the option to re-authorize additional attempts for the Claimant to use to try again.

      5. If either a Match or Overlap settlement result is achieved through Cybersettle the two parties that attempted to negotiate and settle using the system are contractually bound to settle for that amount. By continuing to use Cybersettle, you agree to the Terms of Use and that you are a party to a binding settlement agreement when your negotiation attempt on Cybersettle results in a settlement. At this point Cybersettle has fulfilled its role in the digital negotiation and settlement between the two parties and it is up to the two parties to enforce and conclude the exchange of monies as determined by the settlement.
8. No Contractual Involvement or Court Powers
   1. We are not a party to any settlement agreement achieved through use of our Cybersettle application. If you achieve a settlement using Cybersettle then you are responsible for taking any necessary steps to notify relevant parties and a Court (if relevant) and complete the financial transaction. Pursuant to clause 9 (LIMITATION OF OUR LIABILITY), Cybersettle shall have no liability for the outcome or any resulting implications of any such settlements.
   2. Cybersettle has no power or obligation to enforce settlement agreements achieved through use of our application.
9. Limitation of Our Liability
   1. Nothing in these Terms of Use excludes or limits our liability for death or personal injury arising from our negligence, or our fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.
   2. To the extent permitted by law, we exclude all conditions, warranties, representations or other terms which may apply to our application or any content on it, whether express or implied.
   3. We will not be liable to any user for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, even if foreseeable, arising under or in connection with:

      (a) use of, or inability to use, our application; or

      (b) The outcome or any implications or consequences, whether legal or financial and whether arising directly or indirectly from any settlement reached through the use of our application; or

      (c) use of or reliance on any content displayed on our application.

   4. Please note that, in particular, we will not be liable for:

      (a) loss of profits, sales, business, or revenue;

      (b) business interruption;

      (c) loss of anticipated savings;

      (d) loss of business opportunity, goodwill or reputation; or

      (e) any indirect or consequential loss or damage.

   5. We will not be liable for any loss or damage caused by a virus, distributed denial-of-service attack, or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our site or to your downloading of any content on it, or on any website linked to it.
   6. We assume no responsibility for the content of websites linked on our application. Such links should not be interpreted as endorsement by us of those linked websites. We will not be liable for any loss or damage that may arise from your use of them.
   7. By agreeing to our Terms of Use, you agree to defend, indemnify and hold Cybersettle Holdings Inc, its affiliates, officers, directors and employees harmless from any and all claims, liabilities, costs and expenses, including reasonable legal ' fees, arising in any way from your use of our application, any settlement reached by you through the use of our application, any violation of these Terms of Use by you, or any data post on or through our application.
   8. This clause 9 shall survive termination of these terms.
10. Uploading Contact to Our Application
    1. Whenever you make use of a feature that allows you to upload content to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Acceptable Use Policy.
    2. You warrant that any such content does comply with those standards, and you will be liable to us and indemnify us for any breach of that warranty. This means you will be responsible for any loss or damage we suffer as a result of your breach of warranty.
    3. Any content you upload to the Cybersettle application will be considered non-confidential and non-proprietary. You retain all of your ownership rights in your content, but you are required to grant us and other users of our application a limited license to use, store and copy that content and to distribute and make it available to third parties if required. The rights you license to us are described in the next paragraph (Rights you licene).
    4. We also have the right to disclose your identity to any third party who is claiming that any content posted or uploaded by you to our application constitutes a violation of their intellectual property rights, or of their right to privacy.
    5. We will not be responsible, or liable to any third party, for the content or accuracy of any content posted by you or any other user of our application.
    6. We have the right to remove any of your content from our application if, in our opinion, it does not comply with the content standards set out in our Acceptable Use Policy Acceptable Use Policy.
    7. The views expressed by users on our application do not represent our views or values.
11. Rights You License
    1. When you upload or post content/data to our application, you grant to us, a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, analyse, reproduce, distribute, prepare derivative works of, display, and perform our services using that content/data in connection with the service provided by our application and across different media.
    2. You agree that this license is also granted to:

       (a) any member of our group, which means our subsidiaries, our ultimate holding company and its subsidiaries;

       (b) Business partners, suppliers and sub-contractors for the performance of any contract we enter into with them or you; and

       (c) Analytics providers that assist us in the improvement and optimisation of our application.

12. Viruses
    1. We do not guarantee that our site will be secure or free from bugs or viruses.
    2. You are responsible for configuring your information technology, computer programs and platforms in order to access our application. You should use your own virus protection software.
    3. You must not misuse our application by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our application, the server on which our application is stored or any server, computer or database connected to our application. You must not attack our application via a denial-of-service attack or a distributed denial-of service attack. By breaching this provision, you would commit a criminal offence under the applicable laws and regulations of the appropriate jurisdiction. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use our application will cease immediately.
13. Linking to Our Application
    1. You may link to application, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it.
    2. You must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists.
    3. You must not establish a link to our application in any website that is not owned by you.
    4. Our application must not be framed on any other site, nor may you create a link to any part of our application other than the home page.
    5. We reserve the right to withdraw linking permission without notice.
    6. The site or application that you are linking to our application from must comply in all respects with the content standards set out in our Acceptable Use Policy.
    7. If you wish to make any use of content on our application other than that set out above, please contact support@cybersettle.com.
14. Third Party Links and Resources in Our Site
    1. Where our application contains links to other sites, applications and resources provided by third parties, these links are provided on an as-is basis with Cybersettle not being responsible for the functioning of such third-party resources.
    2. We have no control over the contents of those third-party sites, applications or resources.
15. Applicable Law and Jurisdiction

    These terms of use, its subject matter and its formation (and any non-contractual disputes or claims) are governed by US law. You and we jointly agree to the exclusive jurisdiction of the courts of the United States, specifically the state of Florida.

16. Severance

    If any provision or part-provision of these terms of use is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any modification to or deletion of a provision or part-provision under this clause shall not affect the validity and enforceability of the rest of these terms of use.

17. Trade Marks

    “Cybersettle” is a trade mark of Cybersettle Holdings Inc.

18. Entire Agreement
    1. These terms (and all documents referred to in these Terms of Use, including without limitation our Privacy Policy, Acceptable Use Policy and Cookie Policy, direct written agreements and/or correspondence with our authorised representative(s) containing prices) constitute the entire agreement between the parties and supersede and extinguish all previous agreements, terms, promises, assurances, warranties, representations and understandings between the parties, whether written or oral.
    2. You and we agree that neither of us shall have remedies in respect of any statement, representation, assurance or warranty (whether made innocently or negligently) that is not set out in this agreement. You and we agree that neither of us shall have a claim for innocent or negligent misrepresentation or negligent misstatement based on any statement in our site.

2. Minors

   Cybersettle is designed and intended for use only by adults and is not directed at anyone under the age of 18. If you are under 18 years of age you are not permitted to use Cybersettle. Please exit the application.

3. Collection and Use of Information

   As a Cybersettle user you have voluntarily elected to use the application and its features and share relevant and required Information. “Information” is defined under this Privacy Policy to include, but not limited to the following types of data: (1) full name of user; (2) address, city, state, zip code; (3) valid email and/or telephone number; (4) Username and Password; (5) Unique Authentication Access Codes; (6) financial offers that you submit as part of any digital negotiation and settlement activities you use Cybersettle for. Information we collect and store may also include other data that cannot necessarily identify you personally such as (1) IP addresses, (2) composite user data, (3) browser types, (4) visits to the site and (5) what services are used. Cybersettle uses all this Information to ensure user experience and application functionality are optimally delivered to users and continually improved. This type of Information may be shared with other service providers to improve the services they provide to our users.

4. Links to Other Websites

   Cybersettle may contain links to other websites and we are not responsible in any way for security or privacy measures on these websites. When you link to another website, you should read in its entirety their privacy policy which will govern your use of their site. This Privacy Policy does not apply to any third party websites linked from Cybersettle.

5. Protection and Storage of Information

   Safekeeping of Information is a high priority for Cybersettle. We will continue to maintain the high standards necessary to ensure that your Information is kept private and secure at all times. We retain this Information to enable Cybersettle functionality and are committed to satisfying legal requirements such as recordkeeping, tax reporting, and credit reporting requirements, as well as for purposes of fraud prevention, audit and data integrity. Access to your Information is limited. We control access to this Information and limit access to employees or third parties only on a need to know basis. Firewalls and security technology protects your Information. Our servers use Secure Socket Layer (SSL) technology for security. On a regular basis, we test our systems to ensure safety and security.

6. Legal Obligations

   We may be required by federal, state, or local law, to share Information with law enforcement officials. Additionally, we may be required by law to share composite Website Information on usage, demographics or other Information to government authorities. We may, in accordance with federal and state laws, maintain your Information for up to seven (7) years. Our obligations under this Privacy Policy do not apply to any Information or data that: (a) is not identifiable as yours; (b) is or becomes available in the public domain; (c) was known to us prior to our access to the Information or data; and/or (d) received lawfully from a third party through no breach of any obligation of confidentiality owed to you.

7. Use of Cookies

   We use cookies to make it easier for you to navigate and use Cybersettle. Cookies expire when you close your browser. We may use a persistent cookie that remains on your hard drive for an extended period of time, so that we can recognize you when you return back to Cybersettle during normal course of use of the application. Use the Help section of your browser to remove a persistent cookie, if you choose to do so.

8. Other Use of Information

   Many third parties wish to access our data and information such as academic researchers, software developers and others for lawful purposes. Such data is provided by Cybersettle to third parties only after all personally identifiable information have either been deleted and/or de-identified such that it cannot be used to identify any individual current or former user of Cybersettle.

9. State Law

   Privacy rights under your particular state of residence may also govern use of Cybersettle and its practices.

10. Changes to the Privacy Policy

    We reserve the right to make changes to this Privacy Policy at any time to accommodate for changes required by law, technology, application functionality or other factors. You should monitor this Privacy Policy for any changes as they will be updated periodically as required. Your continued use of Cybersettle will signify your acceptance of the current Privacy Policy.

11. Business Transfer

    As with any other business, it is possible that in the future we could merge with or be acquired by another company. If such an acquisition occurs, the successor company would have access to the Information maintained by us, including your Information, but would continue to be bound by this Privacy Policy unless you consent otherwise.

12. Permitted Disclosures

    The following is a list of the uses and disclosures that are permitted by law that we may use or disclose Information without your written permission. We have provided them to you for your reference only and will only disclose in such cases when required or relevant to our business and technology operations:

    • To any government officials regarding military personnel for any functions authorized by federal law;
    • To comply with workers' compensation and any other related programs
13. Required Disclosures

    To make sure that we abide by the federal, state and local laws, there are times that we are required to disclose your Information to local regulators and/or law enforcement authorities. In addition, certain laws and rule require us to provide you with access to your Information that we may collect and store, when requested, provided there are no exceptions to such required disclosures. Your continued use of Cybersettle is deemed acceptance of our Privacy Policy as it relates to these matters.

14. Need for Authorization

    We will not use or make any disclosures other than those mentioned above without your permission. If you wish to withdraw your authorization or would like some more information on this Privacy Policy, please contact us through the provided contact information for us. However, your withdrawal will not be effective if we already took action relying on your permission before it was withdrawn.

    If you would like to receive any additional information on any of your below rights, please contact us, in writing, to the address provided below.

    The Right To Request Restrictions. Under federal law you have the right to request that restrictions be placed on certain uses and disclosures of your Information; however, we are not required to agree. If we do agree, we may not use or disclose any of your Information except in a case where emergency treatment is necessary. We may, at any time, end an agreement to restrict as permitted by federal law.

    The Right to Alternative Confidential Communication. You may choose to have your Information sent to you by any means of your choice and if the request is reasonable we will send the Information as requested. All requests must be sent in writing to the address listed below. Please note that you must state that disclosure of any of your Information could endanger you if not sent to you by the means of your choice that you have requested.

    The Right To Inspect And Copy. You have the right to inspect and copy any and all your Information that Cybersettle collects/collected and stores/stored, related to your use of the application, provided Cybersettle is not prohibited by law to allow you to do so. Note that we are allowed by law to deny access in some cases, and subject to certain procedures. All requests must be sent in writing to the address provided below. All requests must state that you are writing to inspect and/or copy your Information.

    The Right to Amend. You have the right to request that we amend your Information that we collect and store at any time. However, we are allowed to deny your request if we did not create the Information that is kept in our records. Once we receive your request, we will review and respond accordingly to your request. All requests must be sent to the address provided below. In addition, please include the reason why your Information should be amended along with your name, address and other relevant identification required for us to locate your Information in our records.

    The Right To A Paper Copy Of This Notice. Even if you have agreed to electronic disclosures, you have the right at any time to receive a copy of this notice or any notice on paper. All requests must be sent to the address provided below.

   2. Your use of our application means that you accept, and agree to abide by, all the policies in this Acceptable Use Policy, which supplement our Terms of Use.
   3. Cybersettle is a software application hosted and operated by Cybersettle Holdings Inc (we or us) at 1079 N Tamiami Trail Unit 323, Nokomis FL 34275.
2. Prohibited Uses
   1. You may use our application only for lawful purposes. You may not use our application:

      (a) In any way that breaches any applicable local, national or international law or regulation.

      (b) In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

      (c) For the purpose of harming or attempting to harm minors in any way.

      (d) To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards in clause 4 below.

      (e) To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or any other form of similar solicitation (spam).

      (f) To knowingly transmit any data, send or upload any material that contains viruses, Trojan horses, worms, time-bombs, keystroke loggers, spyware, adware or any other harmful programs or similar computer code designed to adversely affect the operation of any computer software or hardware.

   2. You also agree:

      (a) Not to reproduce, duplicate, copy or re-sell any part of our application in contravention of the provisions of Terms of Use.

   1. We may from time to time provide interactive services on our site, including but not limited to the double-blind financial negotiation and settlement system.

      (f) Infringe any copyright, database right or trade mark of any other person.

      (g) Be likely to deceive any person.

      (h) Be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidence.

      (i) Promote any illegal activity.

      (j) Be threatening, abuse or invade another’s privacy, or cause annoyance, inconvenience or needless anxiety.

      (k) Be likely to harass, upset, embarrass, alarm or annoy any other person.

      (l) Be used to impersonate any person, or to misrepresent your identity or affiliation with any person.

      (m) Give the impression that they emanate from us, if this is not the case.

      (n) Advocate, promote or assist any unlawful act such as (by way of example only) copyright infringement or computer misuse.

5. Suspension and Termination
   1. We will determine, in our discretion, whether there has been a breach of this Acceptable Use Policy through your use of our application. When a breach of this policy has occurred, we may take such action as we deem appropriate.
   2. Failure to comply with this Acceptable Use Policy constitutes a material breach of the Terms of Use upon which you are permitted to use our application, and may result in our taking all or any of the following actions:

      (a) Immediate, temporary or permanent withdrawal of your right to use our site.

      (b) Immediate, temporary or permanent removal of any posting or material uploaded by you to our site.
